GRIDA Terms of Use

Last Updated: October 7, 2026
Effective Date: October 7, 2026

These Terms of Use (the “Terms”) govern the relationship between AREA72, Inc., a corporation organized under the laws of the State of Delaware (“Company,” “AREA72,” “we,” “us,” or “our”), and users of GRIDA, our generative AI content creation service.

These Terms apply to the GRIDA website (https://grida-ai.com), the GRIDA web application, and all related features provided as part of GRIDA, including image generation, video generation, AI model comparison, Prompt Enhance, Project, Asset, Creative DNA, Contents Workflow, and other related functionality (collectively, the “Service”).

Affiliates of the Company in the Republic of Korea may support the development, design, operation, marketing, customer support, and other functions of GRIDA. Unless otherwise expressly stated, however, the contracting party for the GRIDA Service is AREA72, Inc.

You agree to these Terms by creating an account, making a payment, clicking “Agree,” “Sign Up,” “Purchase,” “Subscribe,” or taking another clear electronic action indicating acceptance. Where applicable law requires separate consent for a particular matter, we will obtain that consent separately. Merely browsing the website does not constitute express consent where express consent is required by law.

You must be at least 18 years old, or the higher age of legal majority required in your jurisdiction, to use the Service.

1. Use of the Service

1.1 Scope

These Terms apply to your access to and use of the GRIDA Service. If you use the Service on behalf of a company, organization, or other entity, you represent and warrant that you have authority to bind that entity to these Terms. In that case, “you” includes that entity.

Our processing of personal information in connection with GRIDA is governed by the GRIDA Privacy Policy.

1.2 License to Use the Service

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, and non-sublicensable right to use GRIDA. This right terminates when your right to use the Service ends under these Terms.

This license is limited to personal use or your own business purposes and does not transfer ownership of the GRIDA software, AI systems, user interface, databases, or other Company assets to you.

1.3 Additional Policies and Separate Terms

Certain features or forms of use may be subject to additional policies or separate terms, including:

  • GRIDA Privacy Policy
  • GRIDA Copyright / DMCA Policy
  • Separate agreements applicable to Enterprise, Business, or organizational customers
  • Terms separately disclosed for specific promotions, events, or features

When you use a particular AI Engine, additional terms, licenses, Acceptable Use Policies, Prohibited Use Policies, or other mandatory policies of the applicable AI Provider may apply.

Where an additional policy or term applies, we may make it available through the Service, the relevant page, or another reasonable method. If these Terms conflict with additional terms that specifically apply to a particular feature or service, the more specific additional terms will control for that feature or service.

1.4 Service Updates

GRIDA is an evolving service. We may add, modify, replace, or update features, user interfaces, AI Engines, generation methods, parameters, and other elements of the Service. These Terms also apply to new or updated functionality.

If we materially reduce core features of a paid plan or otherwise make a material adverse change to the contractual terms, we will provide any notice, consent mechanism, refund, or other remedy required by applicable law.

1.5 Usage Limits

To support stable operation, security, cost management, and plan design, we may impose reasonable usage limits, including limits on:

  • Concurrent generations
  • Generation request frequency
  • File size
  • Number of uploads
  • Storage capacity
  • Throughput
  • GPU or computing resources
  • Generation counts by AI Engine
  • Video duration
  • Number of generated images
  • Credit usage
  • Other technical limits

Usage limits may vary by plan and AI Engine. You may not create multiple accounts or use other circumvention methods to bypass these limits.

1.6 Changes to AI Engines and Features

Specific AI Engines, model versions, and features available through GRIDA may change. We may add, modify, replace, suspend, or remove an AI Engine or feature for technical, security, legal, third-party provider policy, or business reasons.

You should not expect any particular AI Engine or version to remain available indefinitely. Replacing one AI Engine with another is not, by itself, a failure to provide the Service if the paid Service continues to provide substantially similar functionality overall.

If we materially reduce or discontinue a core feature of a paid plan and are unable to provide value corresponding to amounts already paid, we will, as appropriate and subject to applicable law, provide advance notice, substitute service, a prorated refund, or other treatment of unused paid Credits.

2. Registration and Accounts

2.1 Eligibility

To use the Service, you must:

  1. Be at least 18 years old or the higher age of legal majority required in your jurisdiction;
  2. Have legal capacity to enter into a contract in your jurisdiction;
  3. Not be prohibited by law from using the Service; and
  4. Not be a person or entity with whom transactions are prohibited or restricted under U.S. sanctions or other applicable sanctions laws.

2.2 Account Creation

You may be required to create a GRIDA Account to use certain features. When you create an account or purchase a paid service, we will make the Terms, Privacy Policy, and material payment and auto-renewal terms available for review.

2.3 Account Information

You must provide accurate, current, and complete account information and keep it updated. If we reasonably determine that information is false, inaccurate, or incomplete, we may restrict the account after notice where appropriate. We may act immediately where there is an urgent security, fraud, or legal risk.

2.4 Account Responsibility

You are responsible for taking reasonable steps to maintain the confidentiality and security of your account and login credentials. You may not:

  • Share login credentials with another person
  • Sell, rent, or make an unauthorized transfer of your account
  • Permit unauthorized use of your account by a third party

If you become aware of unauthorized access or a security breach, you should notify us as soon as reasonably possible. You may be responsible for activity resulting from a failure to reasonably secure your account, but this provision does not shift responsibility to you for unauthorized access that is not attributable to you.

2.5 Organizations and Workspaces

We may offer Team, Business, or Enterprise features that allow multiple users to participate in a shared Workspace. Depending on the organizational agreement and settings, Workspace administrators may have authority to manage member projects, content, usage information, and settings.

Users of organizational accounts should understand that Workspace administrators may access information associated with the organizational account in accordance with the organization’s policies and applicable agreement. We will provide relevant information as required under our Privacy Policy and the applicable organizational agreement.

3. Responsibility for Content

3.1 Content

“Content” includes text, Prompts, images, videos, audio, files, graphics, settings, Metadata, AI-generated outputs, and other materials processed by or made available through the Service. Content that you input, upload, post, or transmit to GRIDA is referred to as “Your Content.”

You are responsible for Your Content and for having the rights necessary to provide it to the Service.

3.2 Content Storage

We may impose reasonable limits on storage duration, storage capacity, and file size based on our operating policies and your plan. GRIDA is not intended to be a permanent backup service, and you should separately download and retain important Outputs and Assets.

3.3 External Service Connections

If GRIDA offers connections to Google, cloud storage, social login, or other external services, you may connect an external account that you are authorized to use. Outages, changes, or discontinuation of an external service are controlled by that third party and may be outside our control.

3.4 Storage and Inactive Accounts

Storage periods may differ by plan. Accounts with no login, content generation, or active Subscription for an extended period may be treated as inactive.

If we delete content from inactive accounts or make a storage-policy change that users would not reasonably expect, we will, where required by law or technically feasible, provide advance notice and a reasonable opportunity to export important content.

4. Ownership and Input / Output

4.1 GRIDA Service

Except for Your Content, rights in the GRIDA brand, logos, software, UI/UX, design system, algorithms, databases, service architecture, Company-created content, and other GRIDA-related intellectual property are owned by the Company or its licensors.

Except as expressly permitted by law, you may not remove or alter copyright, trademark, watermark, or other proprietary notices displayed in the Service without our prior authorization.

4.2 Your Content

As between you and the Company, we do not claim ownership of Your Content. You represent and warrant that:

  1. You have the right to provide the Content to the Service and authorize its use as contemplated by these Terms;
  2. You have obtained all necessary copyrights, licenses, consents, and permissions;
  3. If the Content uses another person’s name, face, voice, or other identifiable characteristics, you have obtained any rights required by applicable law; and
  4. The Content does not infringe another person’s copyright, trademark, privacy, publicity, image, or other rights.

4.3 License Necessary to Provide the Service

You grant us a non-exclusive, worldwide license to store, reproduce, transmit, reformat, resize, send to the selected AI Provider, generate or edit, display within the Service, back up and restore, and perform safety checks on Your Content to the extent reasonably necessary to operate GRIDA, provide the Service you request, and perform security and safety functions.

This license is limited to service delivery, sharing or publication features you request, security, legal compliance, and other purposes expressly described in these Terms. We do not use non-public Your Content for separate advertising or promotional purposes without separate consent where required.

When you delete Content or your account, this license generally ends, subject to exceptions for legal retention obligations, limited retention for disputes or security, ordinary backup-deletion cycles, and copies that you have already made public or shared with third parties outside our control.

4.4 Input and Output

GRIDA accepts Prompts, text, images, video, or other content as inputs (“Input”) and provides content generated or edited through generative AI (“Output”).

As between you and the Company, we do not claim ownership of your Input or Output. To the extent rights arise under law and are capable of assignment or ownership, and subject to applicable AI Provider terms, rights you may acquire in an Output belong to the user who generated that Output.

Unless otherwise stated, GRIDA does not independently prohibit commercial use of lawfully generated Output. Your actual rights and permitted uses may depend on the applicable AI Provider terms, AI Engine license, your plan, rights in the Input, applicable law, and third-party intellectual property, publicity, or image rights.

AI-generated Output may not always qualify for copyright or other exclusive rights, and the law may vary by jurisdiction. We do not guarantee that Output is copyrightable, registrable, original, unique, or exclusive.

Rights lawfully acquired in previously generated and downloaded Output do not automatically terminate solely because you stop using the Service or cancel a Subscription, except where applicable law, third-party rights, or provider terms in effect at the time of generation provide otherwise.

4.5 Creative Choice Data and Creative DNA

GRIDA may process Creative Choice Data in accordance with the Privacy Policy for service delivery, personalization, and quality improvement. This may include Prompt usage patterns, Prompt Enhance use, selected AI Engines, generation and regeneration activity, result comparisons, final Output selections, editing, image-to-video conversion, downloads, exports, Project workflows, and other usage activity.

This data may be used for Creative DNA, preference analysis, AI Engine, style, Prompt, and workflow recommendations, quality improvement, ranking, routing, personalization, and system performance analysis.

We do not, by default, use your non-public Input or Output as training data for a general-purpose foundation model operated by AREA72. If we introduce such use in the future, we will provide any notice, controls, or consent mechanism required by applicable law.

If Creative Choice Data is aggregated or de-identified so that it is no longer reasonably capable of identifying or being linked to a particular person under applicable law, we may use it for statistics, analytics, research and development, model and service performance evaluation, and product improvement. To the extent such data remains personal information, the Privacy Policy applies.

4.6 Public Content

If you choose to make Content public through Explore or another public area, other users and the general public may view, save, or share it. We may display content that you intentionally make public for search, recommendation, discovery, and other in-service functionality.

If we wish to use public content outside the Service in advertising, press materials, paid promotions, or separate marketing assets, we will obtain separate consent where required by law. We do not use non-public content in external advertising or promotional materials.

4.7 Feedback

If you voluntarily provide ideas, comments, or suggestions about the Service, we may use that feedback to improve our products and services without a separate compensation or attribution obligation to the extent permitted by law. This does not transfer your pre-existing intellectual property rights to us.

5. User Conduct and Restrictions

5.1 Prohibited Uses

You may not use the Service for unlawful purposes or use the Service to create, upload, post, or distribute:

  1. Content that violates law;
  2. Content that infringes another person’s rights;
  3. Content that unlawfully violates privacy or personal information rights;
  4. Defamatory, fraudulent, or deceptive content;
  5. Sexual or intimate imagery created or distributed without valid consent of the depicted person;
  6. Content that sexually exploits or endangers children or minors;
  7. Content that directly assists or facilitates criminal activity;
  8. Content that directly promotes unlawful discrimination, violence, or harm;
  9. Content that directly encourages suicide or serious self-harm; or
  10. Malware, phishing, intrusion, or system-attack content.

5.2 Restrictions on the Service

Except where expressly permitted by law, you may not, without our prior written consent:

  • Resell or rent the GRIDA Service itself
  • Copy the GRIDA UI or website without authorization
  • Use GRIDA to improperly copy or develop a competing service
  • Reverse engineer, decompile, or engage in equivalent activity
  • Conduct abnormal scraping or automated bulk data collection
  • Bypass security systems or content filters
  • Improperly circumvent safeguards through Prompt Injection, Jailbreak, or similar techniques
  • Impersonate another person or company
  • Distribute malware
  • Impose abnormal load on the Service
  • Use multiple accounts to improperly evade plan, rate-limit, or Credit restrictions

5.3 Bulk Use for AI Training

Without our prior written consent, you may not use the GRIDA Service itself, or bulk Outputs or data extracted from the Service through automated means, to build a competing AI service, model, or dataset or to train, fine-tune, distill, or similarly develop another AI or machine-learning model.

This provision does not restrict your right to use Input that you lawfully own, or other materials lawfully obtained outside GRIDA, to develop a separate model. It also does not, by itself, prohibit ordinary business use of individual Output that you lawfully generated.

5.4 Biometric and Person-Related Information

You may not use GRIDA to build a biometric identification or authentication system in violation of applicable law. If you use images, video, or audio containing a person’s face or voice as Input, you are responsible for obtaining any consent and rights required by applicable law.

5.5 Sensitive Personal Information

You should not include unnecessary government-issued identification numbers, financial account information, passwords, authentication credentials, detailed health information, precise geolocation, or other sensitive personal information in Prompts or Input. If a feature specifically requests certain sensitive information, separate notice and safeguards may apply.

5.6 AI-Generated Content Disclosures

Where law or Service policy requires disclosure that content is AI-generated, you must comply. If we include a watermark, Metadata, Content Credentials, or other AI-generation information in Output, you may not remove or alter it in a manner prohibited by law or intended to deceive third parties.

6. Monitoring and Content Management

6.1 Monitoring

To support safety, compliance with these Terms, abuse prevention, security, and legal compliance, we may analyze or filter Content or Service usage patterns using automated or manual methods to the extent reasonably necessary. Personal information is handled under the Privacy Policy.

6.2 Content Management

If we reasonably determine that Content or Output violates these Terms, applicable law, third-party rights, or mandatory AI Provider safety requirements, or poses a material risk of harm to users or the public, we may restrict or remove processing, generation, publication, or display of that Content. Material or repeated violations may result in account restrictions or termination.

Where appropriate and feasible, we may explain the reason for the action and provide an opportunity to appeal or provide additional information. Notice may be limited where necessary for legal, security, urgent-harm, or third-party rights reasons.

6.3 Legal Disclosure

We may disclose user information or Content to the extent permitted or required by law in response to laws, court orders, lawful government requests, rights-infringement complaints, enforcement of these Terms, security needs, or protection of the rights and safety of the Company, users, or third parties.

6.4 AI Content Provenance

We may include watermarks, invisible watermarks, Metadata, Content Credentials, C2PA-based information, or other provenance information in Output. We do not guarantee that the same provenance information applies to every Output or that it will remain permanently intact.

6.5 Non-Consensual Intimate Imagery

We may apply strict restrictions to sexual or intimate content created or distributed without the depicted person’s consent, whether real or synthetic. We may remove content, restrict accounts, process related reports, and cooperate with authorities where appropriate.

6.6 Removal Requests

We may restrict generation or public availability of particular Content when required by law, court order, or a valid request from a rights holder.

7. Interactions with Other Users

7.1 Your Responsibility

You are responsible for your interactions with other users through Explore or other sharing features that may be offered in the future.

7.2 Other Users’ Content

We do not guarantee the accuracy, quality, legality, or rights status of content made public by other users. If you use public content outside the Service, you are responsible for determining what rights or permissions may be required.

8. Third-Party Services and AI Providers

GRIDA may use third-party websites, authentication services, payment services, cloud services, AI Providers, and other external infrastructure (collectively, “Third-Party Services”).

Third-Party Services may be subject to their own terms of use, acceptable-use rules, privacy policies, or licensing conditions. If we contractually require you to comply with a third-party policy, we will provide a reasonable way to review it before you use the relevant AI Engine or feature.

Some AI Engines offered through GRIDA are provided by third-party AI Providers. Mandatory safety requirements that those Providers require us to apply may be incorporated into GRIDA’s controls, and stricter restrictions may apply to the relevant AI Engine where required.

Information about major AI Providers used by GRIDA may be provided through a GRIDA AI Provider Directory. Third-party AI Provider outages, processing speed, model changes, API limits, policy changes, or discontinuation may be outside our direct control.

9. Purchase Terms, Refunds, and Credits

9.1 Payment Service Providers

We use Stripe, Inc. and its affiliates (“Stripe”), together with other third-party payment service providers, to process payments, Subscriptions, Billing, refunds, Chargebacks, and related payment services for GRIDA.

When you purchase a paid Service, Subscription, or Credit through GRIDA, Stripe may collect and process certain payment-method information and other information required to complete the transaction directly from you. We may not receive or store full payment credentials, such as full card numbers. We may receive from Stripe limited payment identifiers and transaction information that are necessary to administer payments and Subscriptions.

Stripe’s processing of your personal information is subject to the Stripe Privacy Policy (https://stripe.com/privacy). If you choose to use a separate consumer-facing service provided directly by Stripe, such as Link, additional terms applicable to that Stripe service may also apply.

By proceeding with a payment, you authorize us and Stripe to process transaction and payment-related information, and to transmit payment instructions and related information to payment networks, card issuers, banks, or other payment participants, to the extent necessary to process the transaction, obtain authorization, prevent fraud, issue refunds, manage Chargebacks, and perform related payment functions.

Payment transactions may be subject to authorization, verification, and fraud-prevention procedures conducted by Stripe, payment networks, card issuers, or other payment institutions. If your card issuer or another payment institution declines or fails to authorize a transaction, we may be unable to complete the payment. Except to the extent liability cannot be excluded under applicable law, we are not responsible for a payment institution’s decision to decline or withhold authorization.

Your card issuer, bank, or other payment institution may separately charge foreign transaction fees, currency-conversion fees, processing fees, or other charges. Those charges are determined by the applicable institution and, except as otherwise required by law, are not imposed or controlled by AREA72.

9.2 Material Purchase Terms and Payment

Before you purchase a paid service or Subscription, we will clearly and conspicuously disclose material transaction terms, including price, Billing Cycle, automatic renewal, renewal charge or calculation method, conversion from a free trial to paid service, cancellation and refund terms, Credit expiration, and other material terms. Where required by law, we will obtain your express and informed consent before charging you.

You agree to pay the displayed price and applicable taxes. When you provide a valid payment method and agree to a purchase or Subscription, we or the payment provider may charge that payment method for the applicable transaction.

If payment fails or remains unpaid, we may reasonably retry the charge and restrict or suspend paid features. If an improper recurring charge or clear duplicate charge occurs after a valid cancellation, we will address it in accordance with applicable law and payment policies.

9.3 Refunds and Cancellation Rights

If applicable law provides a longer cancellation period or more favorable rights, that law controls. Otherwise, you may request a refund within seven days after an initial purchase if you have not used any Credits or digital-service benefits provided with that purchase.

If Credits or digital services have already been provided or partially used, refund eligibility may depend on applicable law, the portion used, the nature of the Service, and conditions disclosed at the time of purchase. We will not deduct arbitrary penalties or flat processing fees from amounts that must be refunded by law. If the law permits deduction of a third-party fee that is genuinely non-refundable, we may disclose the basis and amount before or during refund processing.

Recurring Subscription renewals, free-trial conversions, EU/UK withdrawal rights, and Korean consumer cancellation rights are governed by these Terms together with the mandatory law of the applicable jurisdiction.

9.4 Credits

You may purchase or receive Credits for AI generation and other features. Credits are service-use units and, unless applicable law provides otherwise, are not cash, deposits, electronic money, virtual assets, or investment products.

Credits may not be redeemed for cash unless required by law and generally may not be transferred, sold, or moved between accounts. We may change the Credits required for future generation requests based on AI Provider API costs, model, Resolution, Quality, Duration, or other generation conditions. We will not retroactively change the Credits used for completed generations.

9.5 Subscription Credits

Credits included with a Subscription are issued for the applicable Billing Period. If clearly disclosed at purchase, unused Subscription Credits generally do not roll over to the next Billing Period and may expire at the end of the period. If you Upgrade, the unused value of remaining Subscription Credits or unused Subscription time may be reflected in the Upgrade price under Section 10.5, and existing Subscription Credits do not convert into or roll over as Credits under the upgraded plan.

9.6 Promotional Credits

We may provide Promotional Credits for promotions, events, rewards, or other purposes. Promotional Credits may have an expiration period disclosed when granted and, unless required by law, have no cash value and may not be transferred or redeemed for cash.

9.7 Add-On Credits

One-time Credits or Credit Packages purchased separately from Subscription Credits are referred to as “Add-On Credits.”

The expiration period for Add-On Credits will be disclosed at purchase and in these Terms. The current default expiration period is 60 days from purchase. If mandatory law in your jurisdiction prohibits or limits expiration of paid prepaid Credits, that law controls and the Credits will remain valid for the period required by law.

Add-On Credits do not automatically replenish. Unless otherwise stated, Subscription Credits are used before Add-On Credits. If you have multiple Add-On Credit Packs, we may use the pack that expires first. Subscription Upgrades or Downgrades do not affect the balance or expiration date of separately purchased Add-On Credits. Refunds of Add-On Credits are subject to Section 9.3.

9.8 Generation Failures and Credit Restoration

If a generation request fails because of a GRIDA system error or an AI Provider technical error, and our system records confirm that you did not receive a substantive Output for that request, we will restore the Credits used for the failed request within a reasonable period.

For Compare requests involving multiple AI Engines, each Engine request may be evaluated separately. For example, if three of four Engine requests complete successfully and one fails technically, only the Credits used for the failed request may be restored.

A result that differs from your preferred taste or style, does not perfectly reflect the Prompt, or results from your selection of an incorrect Prompt, setting, or AI Engine is not, by itself, a technical generation failure. Any statutory quality guarantee or consumer remedy that applies by law will prevail.

9.9 Taxes

Applicable sales tax, VAT, or other taxes may be charged in addition to displayed prices. Where we are legally required to collect taxes, they may be added to the amount charged.

10. Subscriptions

10.1 Subscription

If you subscribe to a paid GRIDA plan, the Subscription Fee is charged according to the monthly or annual Billing Cycle you select. We may change Subscription prices, but price increases or other material changes will be disclosed in advance in the manner and timing required by applicable law and will generally apply from the next renewal period. We will not retroactively change the price of a period that has already been paid.

10.2 Automatic Renewal

A Subscription may automatically renew at the same interval initially selected or another interval disclosed at purchase if the automatic-renewal terms are clearly presented at checkout and you expressly agree to them. Renewal continues until you turn off automatic renewal.

For automatically renewing Subscriptions, we will provide notices required by applicable law concerning renewal dates, renewal prices or calculation methods, expiration of free or discounted periods, price changes, and cancellation methods. You authorize the applicable renewal charge to be made to your registered payment method on each renewal date.

If payment fails, we may make reasonable retry attempts and temporarily restrict paid features. Continued payment failure may result in termination of the Subscription.

10.3 Subscription Cancellation

You may turn off automatic renewal through reasonably accessible Account, Billing, or Subscription Settings. For Subscriptions purchased online, we provide an online cancellation mechanism to the extent required by law. You may also request cancellation by contacting help@grida-ai.com where appropriate.

After a cancellation request is successfully received, we will provide confirmation or display the canceled status in your Account. If an improper recurring charge occurs after cancellation, we will refund or otherwise correct it as required by applicable law.

10.4 Effect of Cancellation

After you cancel a Subscription, you may continue to use the plan through the end of the current paid period. A prorated refund for the current period may not be provided unless required by applicable law or these Terms. Canceling a Subscription does not delete your GRIDA account.

10.5 Upgrades and Downgrades

If you Upgrade from your current Subscription to a higher-tier plan, the Upgrade takes effect immediately upon successful payment.

We may calculate unused value remaining in your current Subscription and apply that amount as a credit against the price of the higher-tier plan.

For a monthly Subscription, unused value is generally calculated based on the proportion of Subscription Credits remaining in the current Billing Period. For example, if you have used only part of the Subscription Credits issued for the current Billing Period, we may apply the ratio of remaining Subscription Credits to the current Subscription Fee when determining unused value.

The Upgrade amount is generally calculated as:

Price of the higher-tier Subscription − unused value of the current Subscription

When the Upgrade is completed, remaining Subscription Credits from the prior plan do not roll over separately. New Subscription Credits associated with the upgraded plan are issued. A new Billing Cycle begins on the Upgrade date, and the future renewal date may be reset to that date.

Separately purchased Add-On Credits are not forfeited because of an Upgrade and remain usable subject to their applicable expiration and other conditions.

For an annual Subscription Upgrade, unused value may include both:

  • Unused Subscription Credit value in the current Credit Cycle
  • Subscription value associated with future Credit Cycles that have not yet begun

If you have partially used the current Credit Cycle, we may calculate unused value based on the remaining Credit ratio in that Cycle. For future Credit Cycles that have not begun, we may calculate unused value based on the monthly or Cycle-based equivalent price of your current annual Subscription.

Before completing an Upgrade, the Upgrade screen will display the current plan, the plan being upgraded to, the standard price of the higher-tier plan, the unused value applied, the actual Upgrade charge, the new Subscription Credits to be issued, and the new Billing Date.

Taxes, currency conversion, discounts, promotions, and legally required adjustments may affect the final amount.

A Downgrade to a lower-tier plan generally does not take effect immediately. It takes effect at the next renewal after the current Billing Period or current annual Subscription term ends. Until then, you may continue to use your current plan and remaining Subscription Credits. Once the Downgrade takes effect, the price, features, storage limits, AI Engines, Credits, and other benefits of the lower-tier plan apply.

10.6 Free Trials and Promotions

We may offer free trials or discounted Subscriptions. If a free trial or promotional period automatically converts to a paid Subscription, we will clearly disclose the conversion date, price, Billing Cycle, and cancellation method before enrollment and obtain express consent to automatic paid conversion where required by law.

If you do not wish to be charged, you may cancel before the end of the disclosed free or promotional period.

11. Indemnification

To the extent permitted by law, particularly where you use the Service on behalf of a business or organization, you are responsible, to the extent attributable to your fault, for third-party claims and reasonable costs arising from your intentional or negligent acts, breach of these Terms, unlawful use of Your Content or Output, infringement of third-party rights, or violation of export-control, sanctions, or privacy laws.

We will provide reasonable notice of such claims and an opportunity to cooperate in the defense. We will not pass on settlement amounts that impose unreasonable obligations on you if we settle without your consent. This provision does not create indemnification or waiver obligations that applicable consumer law does not permit us to impose.

12. Disclaimer of Warranties

12.1 AS IS

To the fullest extent permitted by applicable law, GRIDA is provided “AS IS” and “AS AVAILABLE.” We do not guarantee that the Service will always be uninterrupted or error-free. This provision does not limit statutory warranties, consumer rights, or express commitments that cannot be excluded by law.

12.2 AI Output

AI Output may be probabilistic and non-deterministic. To the extent permitted by law, we do not guarantee the originality, uniqueness, accuracy, completeness, legality, fitness for a particular purpose, copyrightability, trademark registrability, or non-infringement of Output.

Output may contain errors, unexpected content, or elements similar to third-party content. We do not conduct advance rights-clearance searches on your Input or Output. Depending on your intended use, you may need separate legal or rights review before publishing, distributing, or commercially exploiting Output.

12.3 No Professional Advice

GRIDA Output does not constitute medical, legal, financial, or other professional advice. You should not rely solely on AI Output for important professional decisions.

12.4 Downloads

When you download or use Content or Output, you are responsible for determining whether it is suitable and whether you have the necessary rights. This provision does not exclude liability for loss caused by our intentional misconduct or gross negligence where such liability cannot be excluded.

12.5 Beta Features

We may provide Beta, Preview, Experimental, or similar features. These are offered for testing, may be less stable than generally available features, and may be changed or discontinued at any time unless otherwise expressly promised at purchase.

12.6 Acts of Third Parties

We do not directly control Third-Party Services or the conduct of other users. This provision does not exclude any independent duty or liability imposed on us by applicable law.

12.7 Third-Party Infrastructure

GRIDA may rely on AI Model Providers, GPU Providers, cloud providers, CDNs, Payment Providers, and other external technology vendors. Generation speed, queue times, Output quality, throughput, concurrent capacity, and availability may therefore be affected by external systems. Unless we expressly commit otherwise, we do not guarantee a specific generation or processing time, and estimated times displayed in the Service are informational only.

13. Limitation of Liability

13.1 Indirect Damages

To the fullest extent permitted by applicable law, we will not be liable for lost profits, lost revenue, lost business opportunities, business interruption, substitute-service costs, or other special, indirect, or consequential damages arising from these Terms or the Service, except to the extent such liability cannot lawfully be limited.

13.2 Liability Cap

To the fullest extent permitted by applicable law, our total liability arising out of or relating to these Terms or the Service will not exceed the greater of: (1) the total Service fees you actually paid to us during the six months immediately preceding the event giving rise to liability; (2) USD 100; or (3) any higher minimum amount required by applicable law.

The foregoing limitations do not apply to intentional misconduct or gross negligence, fraud, death or bodily injury, privacy or consumer-protection liability that cannot legally be limited, or other liability that mandatory law does not permit us to exclude or limit. If this liability cap is unfair or unenforceable as applied to a consumer, it applies only to the extent permitted in that jurisdiction.

13.3 Data Storage

GRIDA is not a permanent backup service. Even where we use reasonable technical safeguards, we do not guarantee that delays, deletion, or storage failures affecting Your Content, Projects, or settings will never occur, except as otherwise required by law or a separate agreement. Statutory liability for data loss caused by our intentional misconduct or gross negligence is not excluded by this provision.

13.4 Local Exceptions

Some jurisdictions do not permit certain warranty disclaimers or liability limitations. Mandatory law in those jurisdictions will control to the extent applicable.

14. Intellectual Property Complaints

14.1 General Principles

We respect copyrights, trademarks, and other intellectual property rights. If you believe content available through GRIDA infringes your rights, you may submit a complaint in accordance with the GRIDA Copyright / DMCA Policy.

Copyright infringement notices and DMCA-related inquiries may be sent to copyright@grida-ai.com. Claims involving trademarks, publicity rights, privacy, or other non-copyright rights may be subject to separate procedures that we identify.

14.2 U.S. DMCA Notice

Where the U.S. Digital Millennium Copyright Act, 17 U.S.C. §512, applies, a copyright owner may submit a DMCA Notice to our Designated DMCA Agent using the process described in the GRIDA Copyright / DMCA Policy. Upon receipt of a valid notice, we may restrict access to, remove, or otherwise address the relevant content as required by law.

AREA72, Inc. has registered a DMCA Designated Agent with the U.S. Copyright Office. Notices of claimed copyright infringement may be submitted to:

Designated Agent: Copyright Manager
Company: AREA72, Inc.

Address: 16192 Coastal Highway, Lewes, DE 19958, United States

Email: copyright@grida-ai.com

We maintain the Designated Agent information published on our website so that it remains consistent with the information registered with the U.S. Copyright Office. Please refer to the GRIDA Copyright / DMCA Policy for detailed notice requirements, Counter-Notification procedures, and the Designated Agent telephone number.

14.3 Counter-Notification

If we remove or disable access to Content in response to a DMCA Notice and you believe the action resulted from mistake or misidentification, you may submit a valid Counter-Notification in accordance with the GRIDA Copyright / DMCA Policy.

Where required by law, we may provide the Counter-Notification to the original complainant or the complainant’s agent. If the complainant does not timely notify us that it has filed an action seeking a court order, we may restore the Content or reinstate access in accordance with the procedures and timelines permitted by law.

14.4 Repeat Infringer Policy

In appropriate circumstances, we may restrict or remove Content, limit specific features, suspend an account, or terminate an account of a user who repeatedly infringes copyright or other intellectual property rights. In cases of serious infringement, we may take action under applicable law and GRIDA policies without multiple prior reports or warnings.

14.5 Copyright / DMCA Policy

Detailed requirements for DMCA Notices, submission procedures, Counter-Notifications, repeat infringer rules, AI-generated content, and complaint handling are set out in the separate GRIDA Copyright / DMCA Policy. For copyright complaints and DMCA procedures, the more specific Copyright / DMCA Policy controls in the event of a conflict with these Terms, subject always to mandatory law.

15. Term and Termination

15.1 Term

These Terms take effect when you validly accept them and remain in effect until terminated in accordance with these Terms.

15.2 Restrictions or Termination by the Company

We may immediately restrict, suspend, or terminate all or part of the Service if you materially breach these Terms, create or distribute unlawful content, create non-consensual intimate imagery, engage in child exploitation, repeatedly infringe rights, repeatedly bypass safety systems, engage in payment fraud, abuse the Credit system, attack our systems, or if applicable law prohibits us from providing the Service to you.

For minor and remediable breaches, we will provide notice of the reason and a reasonable opportunity to cure where reasonably possible. We may act without prior notice in the event of an urgent security, safety, fraud, or legal risk.

15.3 Termination by You

You may stop using the Service and delete your account at any time. Subscription cancellation is governed by Section 10.

15.4 Effect of Termination

When the agreement terminates, your right to access the Service ends. If we terminate a paid Service during an already-paid period for reasons unrelated to your breach and do not provide an equivalent substitute service, we will take appropriate measures, subject to applicable law and actual unused value, such as a prorated refund of unused prepaid Subscription time or a refund of unused paid Add-On Credits.

Promotional Credits are not refundable unless required by law. If an account is lawfully terminated for a material breach, Subscription Credits and Promotional Credits may expire, but treatment of purchased Add-On Credits remains subject to applicable law.

15.5 Account Deletion and Data

After account deletion, we may retain the account for a limited recovery period of up to 30 days in accordance with the Privacy Policy. During that period, we may restore the account and related content where technically feasible if you request recovery.

After the recovery period, Content and generated Assets may be deleted from active systems and may no longer be recoverable. Information that must be retained by law, de-identified or aggregated data, records needed for security or fraud prevention, and limited backup data may be retained as exceptions. The Privacy Policy governs details of retention and deletion.

15.6 Restrictions on Re-Registration

If your account is terminated for a material violation of these Terms, you may not use another email address or account to circumvent restrictions that we reasonably impose.

16. Users Outside the United States

16.1 International Use

GRIDA is operated with the United States as its primary market but may be available in other countries. Certain AI Engines or features may not be available in all jurisdictions. Users outside the United States must comply with these Terms together with applicable mandatory local law.

16.2 EU/EEA and United Kingdom Users

If a consumer in the European Economic Area or United Kingdom has a statutory 14-day withdrawal right, the consumer may exercise that right.

If digital content is to be supplied before the 14-day withdrawal period ends, we will obtain any express request or consent to immediate performance and acknowledgment of possible loss of the withdrawal right that applicable law requires. If those requirements are not satisfied, we will not charge amounts that the consumer is not legally required to pay.

If a service contract is partially performed during the withdrawal period at the consumer’s express request, payment obligations and refund rights are governed by applicable EU or UK consumer law. These Terms do not limit mandatory consumer rights in the consumer’s country of habitual residence.

16.3 Users in the Republic of Korea

Where mandatory Korean consumer-protection laws, including the Act on the Consumer Protection in Electronic Commerce, apply, statutory rights regarding cancellation, refunds, disclosures, and provision of contractual information take precedence over these Terms.

Where a general statutory cancellation period applies to distance sales, we will honor that right. If cancellation is legally restricted because digital content or a service has begun to be supplied, we will comply with required disclosures, trial-use opportunities, or equivalent procedures. Where digital content or a service is divisible, rights may remain for the portion not yet supplied to the extent required by law.

17. Arbitration Agreement

IMPORTANT: This Section 17 primarily applies to users residing in the United States or otherwise subject to an arbitration agreement under U.S. law and may affect your legal rights. If mandatory law outside the United States limits or prohibits arbitration, that law controls.

17.1 Applicability

To the extent permitted by law, you and the Company agree to resolve disputes arising out of or relating to the Service, Output, or these Terms through binding individual arbitration.

This does not prevent a qualifying Small Claims Court action, a request for emergency injunctive or other equitable relief concerning intellectual property, matters that cannot lawfully be compelled to arbitration, or claims for public injunctive relief that cannot lawfully be waived.

17.2 Pre-Dispute Notice and Informal Resolution

Before initiating arbitration, the party raising the dispute must send written notice including the party’s name, contact information, account email, a specific description of the dispute, and the requested resolution, and the parties will attempt in good faith to resolve the dispute for at least 30 days. Notices to the Company may be sent to help@grida-ai.com. This requirement does not prevent a party from acting promptly where necessary to preserve a claim or meet a legal deadline.

17.3 Jury Trial Waiver

To the extent permitted by law, the parties waive the right to a trial before a judge or jury for disputes subject to arbitration.

17.4 Class Action Waiver

To the extent permitted by law, you and the Company may bring claims against each other only in an individual capacity and not as a plaintiff or class member in a class, representative, or collective arbitration. This waiver does not apply where applicable law prohibits it or makes a particular form of relief non-waivable.

17.5 Arbitration Provider and Rules

The U.S. Federal Arbitration Act governs this arbitration provision. Arbitration will generally be administered under the then-current American Arbitration Association (“AAA”) Consumer Arbitration Rules for individual consumers or the Commercial Arbitration Rules for users acting on behalf of a business or organization.

If a large number of coordinated or substantially similar individual claims are filed and the AAA’s Mass Arbitration Supplementary Rules apply, those rules may govern.

Unless applicable law or AAA rules provide otherwise, individual consumer arbitration may occur in the user’s place of residence, remotely, or in another reasonable location or manner agreed by the parties.

17.6 Arbitrator

The arbitrator will be selected in accordance with the applicable AAA rules and may award individual relief that a court could award to the extent permitted by law.

17.7 Arbitration Fees

Arbitration fees and attorneys’ fees are allocated under the applicable AAA rules and applicable law. We will not enforce this arbitration provision in a manner that would impose materially excessive costs on a consumer compared with court access. The arbitrator may allocate costs for bad-faith or clearly frivolous claims as permitted by law and the applicable rules.

17.8 30-Day Opt-Out

You may opt out of this arbitration agreement by emailing the Company within 30 days after you first become subject to it. Your notice must include your name, address, GRIDA account email, username if any, and a clear statement that you are opting out of the “GRIDA Arbitration Agreement.”

Opt-Out Notice: help@grida-ai.com

A valid opt-out does not affect the remaining provisions of these Terms.

17.9 Severability

If part of this arbitration provision is found invalid or unenforceable, that part will be severed to the extent permitted by law and the remainder will continue in effect. If severing the invalid portion would fundamentally alter the parties’ arbitration agreement, the court with jurisdiction will determine the effect under applicable law.

17.10 Changes to the Arbitration Agreement

If we materially change this arbitration provision, we will provide reasonable advance notice. Where required by law or where the change materially disadvantages users, we may provide a separate consent or opt-out right. To the extent permitted by law, disputes that arose and were notified to us before the change will remain subject to the arbitration terms then in effect.

18. General Provisions

18.1 Electronic Communications

You agree that we may provide notices through the Service, by email, or by other electronic means. If applicable law requires a particular form of notice or separate consent, that requirement controls.

18.2 Assignment

You may not assign rights or obligations under these Terms without our prior written consent. We may assign these Terms in connection with a merger, acquisition, reorganization, business transfer, or other lawful transaction. If mandatory law requires notice or consent because an assignment would materially disadvantage a consumer, we will comply with that requirement.

18.3 Force Majeure

To the extent permitted by law, we are not liable for delay or non-performance caused by events outside our reasonable control, including natural disasters, war, terrorism, civil unrest, epidemics, large-scale cyberattacks, internet outages, cloud or AI Provider outages, API interruptions, power or telecommunications failures, labor disputes, government action, or similar events. We will make reasonable efforts to restore the Service and mitigate impact where feasible.

18.4 Questions and Complaints

For general questions regarding the Service, billing, privacy, legal matters, or GRIDA, contact: help@grida-ai.com

For copyright infringement notices and DMCA-related inquiries, contact: copyright@grida-ai.com

18.5 Changes to These Terms

We may modify these Terms in response to changes in the Service, business environment, or applicable law. If a change is material, we will provide advance notice of the change and effective date through the Service, by email, or another reasonable method.

If applicable law requires express consent to a material adverse change, we will obtain it. Continued use alone does not substitute for legally required consent. If you do not agree to a change, you may cancel your Subscription or stop using the Service before the change takes effect. Treatment of amounts already paid is governed by applicable law and the refund provisions of these Terms.

18.6 Governing Law

To the extent permitted by law, these Terms are governed by the laws of the State of Delaware, United States, without regard to conflict-of-law principles. The U.S. Federal Arbitration Act governs disputes subject to arbitration. The United Nations Convention on Contracts for the International Sale of Goods (CISG) does not apply.

This provision does not limit mandatory consumer, privacy, or other non-waivable statutory rights in your place of habitual residence.

18.7 Courts

For disputes not subject to arbitration under Section 17, the state or federal courts with jurisdiction in Delaware will have jurisdiction to the extent permitted by law. If mandatory consumer law in your jurisdiction guarantees another forum, that law controls.

18.8 Notices

You are responsible for keeping a valid and current email address on your account. Formal notices and legal communications to the Company may be sent to: help@grida-ai.com

18.9 No Waiver

Our failure to immediately enforce a provision does not waive our right to enforce it later.

18.10 Severability

If any provision of these Terms is held invalid or unenforceable, the remaining provisions remain in effect unless mandatory law requires otherwise.

18.11 Export Controls and Sanctions

You must comply with U.S. and other applicable export-control, economic-sanctions, and trade-restriction laws. Access to the Service may be restricted for countries, regions, or persons prohibited or restricted by the U.S. government or other competent authorities.

18.12 Headings

Headings are for convenience only and do not affect interpretation.

18.13 Entire Agreement

These Terms, together with additional policies expressly referenced and made available to you, constitute the entire agreement between you and the Company regarding the Service. If an Enterprise Agreement or other separate written agreement applies, that agreement controls to the extent it expressly provides otherwise.

Supplementary Provision

These GRIDA Terms of Use are effective as of October 7, 2026.
